These Terms and Conditions ("Terms") govern your access to and use of Halkats.com, including its associated websites, services, features, and online marketplace (collectively, the "Platform").

The Platform is operated by Halkats.com, doing business as Halkats ("Halkats," "we," "us," or "our"), located at 5330 Erickson Drive, Granite Bay, CA 95746.

By accessing the Platform, creating an account, or placing an order, you agree to these Terms and our:

•       Privacy Policy;

•       Shipping Policy;

•       Return and Refund Policy;

•       Cookie Policy, if applicable; and

•       Any additional rules displayed during checkout or on product listing.

If you do not agree, please do not use the Platform.

1. Marketplace Services

Halkats.com is an online marketplace through which customers may discover and purchase products.

Products may be:

1.     Sold directly by Halkats;

2.     Sold by independent third-party sellers; or

3.     Fulfilled or shipped by third-party suppliers.

The applicable product page or checkout page will identify the seller when a product is sold by a third party.

Third-party sellers are independent businesses and are not employees, partners, agents, or representatives of Halkats. Each seller is responsible for the accuracy, legality, safety, quality, and fulfillment of its products, except to the extent Halkats expressly assumes responsibility in writing.

Nothing in these Terms limits any responsibility that Halkats or a seller cannot legally disclaim.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to make a purchase.

You may not use the Platform if you are prohibited from doing so under applicable law.

3. User Accounts

You may be required to create an account to use certain Platform features.

You agree to:

•       Provide accurate and current information;

•       Keep your account information updated;

•       Protect your password and login credentials;

•       Notify us promptly of unauthorized access; and

•       Accept responsibility for activities conducted through your account, except where prohibited by law.

You may not impersonate another person, create accounts using false information, transfer your account without permission, or use another person's account without authorization.

We may suspend or terminate accounts reasonably believed to be fraudulent, compromised, unlawful, or in violation of these Terms.

4. Product Listings

We and our sellers attempt to present accurate product descriptions, photographs, prices, availability, dimensions, colors, and specifications. However, displays and photographs may not reproduce colors or details exactly.

Minor variations in packaging, color, appearance, or product specifications may occur. Such variations do not affect your statutory rights when a product is defective, materially different from its description, or otherwise nonconforming.

We may correct typographical errors, listing mistakes, inaccurate availability information, and obvious pricing errors. If a correction materially affects an order you have already placed, we will notify you and provide an appropriate opportunity to confirm or cancel the order.

5. Prices and Taxes

Unless otherwise stated:

•       Prices are displayed in U.S. dollars;

•       Prices do not include applicable taxes, shipping charges, customs duties, or other charges;

•       Customs duties or other charges, if any, are the responsibility of the buyer (customer) and may not be displayed before the order is submitted.

•       Shipping and applicable charges will be displayed before the order is submitted; and

•       Prices and promotions may change without notice before an order is accepted.

Halkats or the applicable seller may collect sales tax where legally required. Customers are responsible for legally applicable taxes or import charges not collected during checkout.

Discount codes and promotions may be subject to separate conditions. Promotions have no cash value and may not be combined unless expressly permitted.

6. Orders and Acceptance

Submitting an order constitutes an offer to purchase the selected products. An automated order acknowledgment confirms that we received your order; it does not necessarily mean the order has been accepted.

An order is accepted when the seller confirms the order, charges or captures payment, or ships the product, whichever occurs first, subject to applicable law.

We or the applicable seller may reject or cancel an order for legitimate reasons, including:

•       Product unavailability;

•       Suspected fraud or unauthorized payment;

•       Shipping restrictions;

•       An obvious price or listing error;

•       Purchase-quantity limits; or

•       A legal or regulatory restriction.

If payment has been collected for a canceled order, the amount paid for the canceled portion will be refunded to the original payment method.

7. Payment

Payments may be processed by independent payment-service providers. By submitting payment information, you represent that:

•       The information is accurate;

•       You are authorized to use the selected payment method; and

•       You authorize the applicable charges, taxes, shipping costs, and disclosed fees.

Payment processors may apply their own terms and privacy policies.

You may not initiate a chargeback for a legitimate, authorized transaction without first making a reasonable effort to resolve the matter through support@halkats.com. This provision does not limit any lawful billing-dispute or chargeback rights.

8. Shipping and Delivery

Shipping estimates are estimates rather than guaranteed delivery dates unless expressly stated otherwise.

The seller will ship products within the time stated on the product page or during checkout. If no shipping time is stated, applicable federal rules generally require shipment within 30 days. If an order cannot be shipped on time, the customer must be notified and offered the choice of consenting to the delay or canceling for a prompt refund.

Customers are responsible for providing a complete and accurate delivery address. Additional costs resulting from an incorrect address may be charged where legally permitted.

Risk of loss and legal title transfer in accordance with applicable law and the disclosed shipping terms. Nothing in this section eliminates rights concerning products that are lost, damaged, misdelivered, or never received.

9. Returns, Refunds, and Exchanges

Returns, refunds, and exchanges are governed by the policy displayed on the relevant product listing and our Return and Refund Policy: https://halkats.com/policies/refund-policy

We will clearly disclose the following before you complete checkout:

•       The return period;

•       Product-condition requirements;

•       Items excluded from return;

•       Who pays return-shipping costs;

•       Any disclosed restocking fee; and

•       How refunds will be issued.

Unless prohibited by law, certain products may be final sale, including customized goods, perishable products, opened hygiene-sensitive goods, downloadable products, and clearance merchandise. Any final-sale restriction will be clearly disclosed before purchase.

Nothing in a return policy limits rights available for defective, damaged, counterfeit, incorrectly delivered, or materially misdescribed products.

10. Third-Party Sellers

When an independent seller supplies a product:

•       The purchase contract may be between the customer and that seller;

•       The seller is responsible for fulfilling the order and honoring the applicable return policy;

•       The seller must provide accurate product and shipping information;

•       The seller must comply with applicable consumer-protection, product-safety, tax, and intellectual-property laws; and

•       Halkats may facilitate communications, payments, returns, refunds, or dispute resolution.

Halkats does not endorse every seller or guarantee every seller's conduct. Nevertheless, Halkats may investigate complaints, remove listings, withhold seller payments where contractually and legally authorized, suspend sellers, and issue refunds when appropriate.

11. Prohibited Products and Conduct

Users may not:

•       Violate any law or another person's rights;

•       Engage in fraud, deception, identity theft, or payment abuse;

•       Interfere with Platform security or operation;

•       Introduce malware or harmful code;

•       Scrape or collect Platform data without written permission;

•       Circumvent access controls or purchasing limits;

•       Post false reviews or manipulate ratings;

•       Sell counterfeit, stolen, unsafe, recalled, illegal, or infringing products;

•       Harass, threaten, or discriminate against another person; or

•       Use the Platform for unauthorized commercial solicitation.

We may remove prohibited material and cooperate with lawful investigations.

12. Reviews and User Content

If you submit reviews, photographs, comments, or other content, you retain ownership of your content but grant Halkats a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to host, reproduce, format, display, distribute, and use it in connection with operating and promoting the Platform.

You represent that your content is truthful, based on genuine experience where applicable, and does not violate privacy, intellectual-property, publicity, or other rights.

We may moderate or remove content that violates these Terms, but we are not obligated to monitor all user content.

13. Intellectual Property

The Platform—including its software, design, text, graphics, logos, photographs, arrangement, and other content—is owned by or licensed to Halkats and protected by intellectual-property laws.

You receive a limited, revocable, nonexclusive, nontransferable license to use the Platform for personal and lawful shopping purposes.

You may not copy, reproduce, modify, distribute, sell, reverse-engineer, frame, or commercially exploit Platform content without written permission or a legally recognized exception.

14. Privacy

If Halkats is subject to the California Consumer Privacy Act, our Privacy Policy will include the notices and mechanisms required by that law, including rights to know, correct, delete, and opt out of certain sales or sharing of personal information, together with a functioning “Do Not Sell or Share My Personal Information” mechanism where applicable.

A separate Privacy Policy is required; this Terms document does not replace it.

15. Third-Party Services and Links

The Platform may contain links to shipping companies, payment processors, sellers, social-media services, and other third parties.

We do not control third-party websites or services and are not responsible for their independent content, availability, security, or privacy practices. A link does not necessarily constitute endorsement.

16. Product Safety and Recalls

Do not use a product contrary to its instructions, warnings, age restrictions, or intended purpose.

We or a seller may contact customers regarding product warnings, corrections, or recalls. Customers should stop using a recalled product and follow the instructions provided.

Report safety concerns to support@halkats.com and, where appropriate, the relevant government agency.

17. Disclaimer of Warranties

To the fullest extent permitted by law, the Platform is provided on an "as is" and "as available" basis.

Halkats does not guarantee uninterrupted access, error-free operation, or that every third-party listing will be accurate or continuously available.

Products may carry warranties offered by their manufacturer or seller. Any applicable warranty will be described with the product or provided after purchase.

These disclaimers do not exclude express warranties or consumer rights that cannot legally be waived.

 

 

18. Limitation of Liability

To the fullest extent permitted by law, Halkats and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the Platform.

To the fullest extent permitted by law, Halkats' total liability for a claim relating to a transaction will not exceed the greater of:

1.     The amount paid to Halkats in connection with the transaction giving rise to the claim; or

2.     One hundred U.S. dollars ($100).

These limitations do not apply to liability that cannot legally be limited, including liability arising from fraud, willful misconduct, or certain personal injuries or statutory consumer rights.

Some jurisdictions do not permit exclusions or limitations, so portions of this section may not apply.

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Halkats and its affiliates from third-party claims arising from:

•       Your unlawful misuse of the Platform;

•       Your violation of these Terms;

•       Content you submit; or

•       Your infringement of another person's rights.

This provision does not require a consumer to indemnify Halkats for Halkats' own negligence, unlawful conduct, or breach of these Terms.

20. Force Majeure

Halkats and its sellers will not be liable for delays or failures in performance resulting from causes reasonably beyond their control, including natural disasters, extreme weather, labor disputes, carrier or supply-chain disruptions, acts of government, power or internet outages, or other similar events. This section does not excuse the obligation to notify customers of delays or to provide refunds where required by law or Section 8.

21. Dispute Resolution

Before filing a lawsuit, you and Halkats agree to attempt informally to resolve the dispute.

A written notice describing the dispute and requested resolution must be sent to:

The recipient will have 30 days after receiving the notice to attempt resolution. Either party may seek relief in small claims court when eligible.

Unless applicable law requires otherwise, disputes that are not resolved informally will be governed by the laws of the State of California, without regard to its conflict-of-laws principles and brought in the state or federal courts serving Placer County, California. You and Halkats consent to those courts’ jurisdiction.

Nothing in this section prevents either party from seeking emergency injunctive relief or reporting a matter to a government agency.

22. Suspension and Termination

We may suspend or terminate access when reasonably necessary to:

•       Protect users or the Platform;

•       Investigate suspected fraud or unlawful activity;

•       Comply with legal requirements; or

•       Address a material violation of these Terms.

You may stop using the Platform at any time. Account termination does not automatically cancel orders already accepted or eliminate obligations that arose before termination.

Provisions intended by their nature to survive termination will remain effective.

23. Changes to These Terms

We may modify these Terms to reflect changes in the Platform, business practices, or law.

The updated version will be posted with a revised "Last Updated" date. If a change materially affects existing users, we will provide legally required notice.

Changes will apply prospectively and will not retroactively alter an existing purchase unless permitted by law and accepted by the customer.

24. Electronic Communications

You consent to receive transactional communications electronically, including order confirmations, receipts, shipping notices, policy notices, and customer-service messages.

Marketing messages will be sent only as permitted by law. You may unsubscribe from marketing emails using the link included in those messages. Unsubscribing from marketing does not prevent necessary transactional communications.

25. General Provisions

If any provision is found unenforceable, it will be modified or severed only to the extent necessary, and the remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver of that provision.

You may not assign your rights under these Terms without our written consent. We may assign these Terms as part of a merger, restructuring, asset transfer, or sale of the business, subject to applicable law.

These Terms and the policies incorporated into them constitute the entire agreement concerning use of the Platform and online purchases.
